REGULATORY OVERVIEW

Overview and reading notes

A US Broker-Dealer generally involves SEC registration, FINRA membership, applicable state registration and SIPC membership arrangements, rather than a universal licence covering all financial activities. Specific admission requirements depend on whether customer assets are received or held, whether underwriting or market-making is conducted, the product category and customer locations. Prepared by Rengangyongsheng (Hong Kong) Limited; professional explanation by business manager Tang Shangyong (唐生). Rules and amounts are based on the official sources identified in this topic. No guarantee of approval, account opening, financing or investment returns.

Regulatory authority
The U.S. Securities and Exchange Commission (SEC), the Financial Industry Regulatory Authority (FINRA), and applicable state securities regulators; SIPC provides a statutory investor property protection mechanism
Scope of business
Applicable to institutions planning to conduct US securities brokerage, fully disclosed introducing, private placements, investment banking underwriting, proprietary market-making or clearing and carrying activities, and investors planning to acquire an existing broker-dealer or add activities such as ATS. Whether registration is required must be determined activity by activity based on actual conduct and narrowly construed exemptions; investment of one's own funds does not automatically constitute acting as a Dealer.
Capital and finance
There is no uniform net capital amount. A limited business that strictly does not receive or hold customer funds or securities may be subject to US$5,000; certain fund and insurance separate account businesses, US$25,000; fully disclosed introducing businesses that receive but do not hold customer securities, US$50,000; general Dealer businesses, US$100,000; and businesses carrying customer accounts, generally from US$250,000. Liability ratios, risk deductions, customer debits and other applicable higher requirements must also be met; FINRA may require higher operating capital.
Processing time information
There is no uniform approval commitment for the overall project. The SEC must grant registration or initiate proceedings to determine whether to deny a complete registration application within 45 days; FINRA generally handles a substantially complete new member application under a 180-calendar-day process, subject to rules on additional materials, extensions and lapse. Preparation, examinations, account opening, clearing and state registration take additional time. Statutory procedural deadlines should not be presented as the date on which business may begin.

01 | Regulatory nature and securities business boundaries

02 | Applicable business categories and model selection

03 | Value of applying and matters not guaranteed

04 | Eligibility and FINRA admission standards

FINRA Rule 1014

05 | Shareholders, directors, controllers and beneficial owners

06 | Principals, compliance personnel and Series examinations

07 | Net capital amount and calculation basis

SEC Rule 15c3-1

08 | Source of funds, operating accounts and customer-fund arrangements

09 | Office address, operational substance and inspection readiness

Registered Agent

10 | Core materials and completeness requirements

FINRA Rule 1013

11 | Complete application steps and launch conditions

12 | Review time, official charges and commercial budget

13 | Acquisitions, change of control and new business activities

14 | Customer asset protection, SIPC and Fidelity Bond

15 | Retail recommendations, best execution and conflicts of interest

16 | AML, customer identification and sanctions risks

17 | Technology, electronic records, privacy and outsourcing

18 | Ongoing filings, annual audits and maintenance calendar

19 | State registration, cross-border customers and settlement arrangements

20 | RIA, MSB and state MTL: They cannot be mechanically combined

21 | Detailed boundaries of CFTC and NFA derivatives categories

22 | STOs, digital securities and ATS are not a single licence

23 | Common misconceptions to avoid before applying

Business classification and entry requirements by category

A fully disclosed introducing broker that strictly does not receive customer funds or securities

Have another registered broker-dealer carry the customer accounts on a fully disclosed basis; do not directly or indirectly receive, hold or owe customer funds or securities, or engage in another higher-capital business. There should be clear clearing agreements, customer statements and procedures for funds received in error. Merely calling the business “Introducing” does not qualify it for the minimum tier.

Capital requirements
Where the strict conditions of Rule 15c3-1(a)(2)(vi) are met, the fixed minimum is US$5,000. Applicable liability ratios and other calculation requirements must still be met, and an operating buffer should be maintained.
Personnel and qualifications
Generally, an appropriately qualified business principal, registered representatives, CCO, AML officer and, where applicable, a Series 27 or 28 FinOp; confirm minimum principal numbers and dual-hatting under 1210 and 1220.
Ongoing maintenance
Maintain clearing agreements, the customer-protection treatment for non-carrying firms, financial filings and annual audit/exemption reports; continually oversee customer admission, sales practices and records.

Introducing broker that receives but does not hold customer securities

Introduce accounts on a fully disclosed basis, where customer securities may be received but not held, subject to conditions on account attribution and clearing arrangements. Regularly receiving customer funds payable to oneself may shift the firm into a carrying category with higher capital requirements.

Capital requirements
Rule 15c3-1(a)(2)(iv) sets a fixed minimum of $50,000; the higher amount applies after considering the applicable ratios, deductions and other activities.
Personnel and qualifications
Appropriate securities business supervisors, representatives, FinOP and financial operations functions, with the ability to handle securities delivery and payment, control of erroneous receipts and clearing oversight.
Ongoing maintenance
Check timely delivery of securities and customer account statements, clearing agreements and funds flows; maintain FOCUS, annual audits, AML and applicable renewals.

Private placements and best-efforts underwriting broker-dealers

Finding investors for an issuer or arranging private placement sales, operating on a best-efforts compliant offering basis, does not automatically entail an underwriting purchase commitment. Offering exemptions and intermediary registration are handled separately; the project must also check custody or qualified escrow account requirements.

Capital requirements
The $5,000 tier may be available only if the conditions, including not receiving customer funds or securities, are strictly met; an undertaking to purchase securities, receipt of customer funds or other business activities will change the requirements.
Personnel and qualifications
Match Series 79, 82, or other representative and corresponding supervisory categories to actual sales and investment banking functions, and assign a CCO, AML, and applicable FinOP.
Ongoing maintenance
Continuously review offering materials, investor eligibility, commissions and conflicts of interest, and check the issuer's Form D and state notice obligations; maintain financial, recordkeeping and supervisory procedures.

Sales of specified funds and insurance separate accounts

For direct, non-subscription-way purchases, sales and redemptions of redeemable registered investment company shares or interests in insurance separate accounts covered by the rules, promptly transmit funds and securities and do not hold customer assets at discretion.

Capital requirements
Where the conditions of Rule 15c3-1(a)(2)(v) are met, the fixed minimum is US$25,000, together with other applicable capital calculations; this must not be presented as a uniform standard for all fund sales.
Personnel and qualifications
Representatives and supervisors for the relevant products, applicable FinOP and compliance personnel; where insurance sales are involved, state insurance personnel qualifications must also be checked.
Ongoing maintenance
Oversee product sales, fee disclosures, customer recommendations and timely remittances; maintain securities and applicable insurance qualifications separately, as well as annual financial obligations.

General dealers and businesses that undertake purchase commitments

Regularly dealing in securities as principal, or engaging in securities purchases and underwriting commitments that trigger Dealer capital classification. Ordinary investment of one's own funds does not automatically fall into this category; activities and risk assumed must be assessed separately.

Capital requirements
Rule 15c3-1(a)(2)(iii) generally sets a fixed minimum of $100,000; position haircuts, liability ratios, underwriting and other activities may require higher capital.
Personnel and qualifications
The relevant transaction or investment banking representatives and supervisors, compliance personnel and applicable FinOP; Series 24 does not automatically replace all specialised qualifications.
Ongoing maintenance
Monitor intraday capital, positions and commitment risks; supervise conflicts in trading, research and underwriting, and retain trading and financial records.

Securities market maker

Ongoing quotations to buy and sell securities, or otherwise operating as a market maker, requires assessment of the trading market, instruments, market access and position risk. Ordinary broker registration alone does not permit unconditional market making.

Capital requirements
General Dealer baseline requirements are combined with higher requirements, such as the security-type calculations under Rule 15c3-1(a)(4). These are generally US$2,500 per security, or US$1,000 per security priced at US$5 or less, calculated according to the rule. There is no uniform minimum of US$100 × ten thousand.
Personnel and qualifications
Securities trading representatives and their respective supervisors, FinOP, market-access personnel and risk-control personnel; roles are confirmed according to the products and trading methods.
Ongoing maintenance
Continue to check quotations, positions, capital deductions, short selling, market access and trading records; maintain relevant reports and market qualifications by instrument type.

Carrying customer accounts or clearing broker-dealer

Takes custody of customer assets and assumes transaction settlement, margin and related back-office responsibilities, and may carry accounts for itself or other firms. Customer protection and liquidity controls are more complex than in a non-carrying introducing model.

Capital requirements
Generally, the fixed minimum starts at $250,000; the alternative standard is the greater of that amount or 2% of aggregate debit items in the customer reserve formula. Mixed businesses and other standards may substantially increase the requirement.
Personnel and qualifications
Appropriate FinOP, financial and operations officers, business and specialised supervisors, and a complete back-office team; for self-clearing or clearing for others, the PFO and POO must be different people unless an exemption is approved.
Ongoing maintenance
Possession and control of customer securities, reserve and PAB arrangements, capital and FOCUS, annual PCAOB audits and compliance reports; daily reserve computations when applicable thresholds are met.

Broker-dealer and ATS operation

A broker-dealer operates a trading system within the Regulation ATS framework and must assess its market operation functions and filings independently. Form ATS is a notice; NMS stocks are also subject to the public Form ATS-N and effectiveness mechanism.

Capital requirements
There is no single fixed capital requirement applicable to all ATSs; it is determined by the BD business, handling of customer assets, market making and other risks, and membership agreement conditions must be met.
Personnel and qualifications
Appropriate securities business supervisors, compliance and FinOP, and personnel who can supervise matching rules, technology, access and market conduct.
Ongoing maintenance
Operations and change reporting, systems supervision, transaction records and applicable market rules, while maintaining compliance with BD financial, audit, customer protection and business-scope requirements.

Broker-dealer and investment adviser dual business

Securities execution and paid ongoing investment advice are provided separately. Determine separately whether BD and SEC or state investment-adviser registration, applicable exceptions and service status apply; asset-management authorisation is not automatically included with BD.

Capital requirements
BD net capital is determined by securities business; federal or state financial requirements for RIAs must be checked separately. The RAUM threshold is not minimum capital.
Personnel and qualifications
Securities representatives and supervisors, advisers and applicable IARs, compliance and finance personnel; service roles, contracts and personnel responsibilities are explained separately.
Ongoing maintenance
Maintain BD and applicable Form ADV, adviser filings, and state requirements separately; manage account recommendations, fees, conflicts of interest, and changes in status.

Frequently asked questions

Is a broker-dealer a registration or a licence?

Often called a licence in the market, but a typical project actually requires SEC registration, FINRA membership, applicable state and personnel registrations, and addressing SIPC eligibility. Each has a different process, and membership agreements restrict the scope of business; this is not a universal permission to conduct all financial services once obtained.

Does a company need to apply for a licence to buy and sell shares using its own funds?

Not necessarily. Ordinary trader investment differs from the regular dealer business of buying and selling securities; assess the actual operations, external activities and other facts. The determination cannot be based solely on whether trading is proprietary, its frequency or the name used; nor can organised market making be presented as investment of own funds to avoid registration.

Does the minimum net capital of US$5,000 apply to all introducing or private placement broker-dealers?

Not applicable. The $5,000 tier requires strict compliance with not directly or indirectly receiving, holding or owing customer funds or securities, not carrying customer accounts, and having no other higher-tier activity. Receiving customer securities or funds, or undertaking an underwriting purchase commitment, may change the classification. Capital calculations also include percentage and risk deduction requirements.

Is minimum net capital the cash balance in a bank account?

No. Net capital requires regulatory adjustments; illiquid assets, securities haircuts for risk and liabilities all affect the calculation. Expenses and losses also reduce available capital. The FinOP should calculate it continuously and reserve an operating buffer, rather than depositing only the minimum amount before applying.

Can a foreign shareholder or Hong Kong company own a US Broker-Dealer?

Foreign shareholders are not automatically prohibited, but direct and indirect control, background and source of funds must be disclosed, and applicable registration and governance requirements must be met. Foreign personnel actually working in the United States also raise separate immigration and employment issues. Check the specific entity and cross-border arrangements in advance; acceptance of every structure cannot be promised.

Do shareholders and beneficial owners only have to be disclosed at 25%?

No. For a non-public reporting company, Form BD Schedule A generally uses a 5% threshold for direct shareholders; Schedule B generally identifies indirect levels using 25% at each level, as well as managers, trustees and other applicable categories. Actual control is assessed separately. Customer CDD beneficial ownership rules are a different obligation; one threshold cannot be used for all filings.

Does a broker-dealer need only one Series 24-registered person?

Generally insufficient. FINRA generally requires at least two appropriately registered principals serving as officers or partners, as well as a FinOP and applicable financial operations functions, a CCO and business personnel. Exceptions exist for members with only one associated person and for approved waivers; specialised business may require additional categories. Staffing numbers and the holding of multiple roles must be confirmed under the rules.

Can I practise after passing the SIE, CAMS or a Series examination?

No. The SIE alone does not establish registration; representatives and principals must meet the examination, member-firm sponsorship and registration requirements applicable to their actual functions. CAMS is a commercial professional certification, not a legally mandated examination uniformly required of all AML compliance personnel, and it cannot replace policies, experience or actual performance of duties.

Does the application require a US office? Is a virtual address acceptable?

The key is having facilities and recordkeeping arrangements that support actual operations, supervision and regulatory inspections. A registered agent or mailbox does not guarantee that a bank will recognise substantive operations; shared or remote locations must be properly registered according to their function and meet supervision requirements. A virtual address cannot replace all operational substance.

The SEC says 45 days and FINRA says 180 days. Does that mean a firm can open for business within six months at most?

No. The SEC45-day period concerns granting registration or commencing proceedings to determine whether to deny it after a complete application; the FINRA180-day period is a general processing framework with rules for extensions for supplementary submissions. Preparation, examinations, banking and clearing arrangements, and state registration are counted separately. There is no uniform commitment to an operational start date for the entire project, and approval cannot be guaranteed.

What are the SEC and FINRA application fees?

There is no SEC filing fee for SEC Form BD. FINRA's official website lists a basic NMA fee of $7,500 to $55,000 based on the number of registered persons; proposed clearing and carrying activities add $5,000. Personnel, state, examination and third-party costs are additional. All amounts should be checked against the current official schedule before payment; net capital is not an application fee.

Does buying an existing broker mean I do not need to apply again?

This does not mean there is no review. Changes in ownership or control, mergers, transfers of business or assets, and significant new business may trigger a CMA or regulatory consultation. Changes involving 25% control usually must be submitted at least 30 days in advance. Certain share transfers may close during the review, but business expansion and unresolved arbitration, among other matters, are subject to separate implementation restrictions.

Does SIPC guarantee US$50 × ten thousand per account and all tokens?

No. SIPC protects against missing assets in a liquidation, subject to the customer and property requirements defined under SIPA, up to $500,000, including $250,000 for cash. It does not compensate for market declines or improper advice, nor does it guarantee that all tokens are covered. Multiple accounts and capacities in which assets are held must be analysed under SIPA's conditions.

Can a broker-dealer that does not receive client assets be exempt from the annual audit?

Generally, no. A non-carrying firm may use exemption reporting and undergo corresponding review, but annual financial statements generally still require an audit by a PCAOB-registered accounting firm. Verify separately any specific initial period, effective order or other exemption; a customer-protection exemption is not the same as an exemption from financial audit.

Can a broker-dealer operate in every state in the United States after registration?

This should not be understood that way automatically. State broker-dealer, personnel and securities offering notice requirements may apply separately; registration, exemptions and renewals vary by state and actual activity. Federal registration and FINRA membership do not replace all state obligations and do not authorise unconditional sales overseas.

If conducting a private placement or STO, does having a Form D mean a Broker-Dealer is unnecessary?

Form D is an offering notice, while Regulation D is an offering-exemption framework; neither automatically exempts an intermediary that participates in placements and receives transaction-based compensation from registration. An STO also requires separate analysis of the offering, sales, market, custody, and resale restrictions; there is no single STO licence covering every stage.

Can an ordinary BD operate an ATS directly?

No automatic expansion. An ATS involves trading system functionality, Regulation ATS and applicable filings; FINRA must also assess the scope of business, personnel, capital and systems. Form ATS is a notice, not an application for SEC approval; NMS stock ATSs have separate public Form ATS-N and effectiveness requirements.

Does a BD plus MSB provide all money transmission authority?

No. An MSB is a FinCEN anti-money laundering registration, not government endorsement, and does not replace state MTLs. FinCEN’s definition excludes relevant persons registered with and regulated or examined by the SEC/CFTC, so an MSB cannot be mechanically layered onto the same BD; other payment entities in the group and state exceptions should be analysed activity by activity.

Must an RIA register with the SEC simply because its assets reach US$1 × one hundred million?

Generally, SEC registration may be elected upon reaching US$1 × one hundred million, and is generally mandatory only upon reaching US$1.1 × one hundred million. Existing SEC advisers with RAUM of at least US$9,000 × ten thousand can generally remain registered; there are also provisions concerning state examinations, New York mid-sized advisers and other statutory exceptions. The determination uses RAUM and business activities, not company turnover; ERA is not equivalent to RIA registration.

Can a FINRA member directly offer futures, commodity pools or retail leveraged foreign exchange?

This is not provided automatically. Depending on the activity, categories such as CFTC/NFA FCM, IB, CTA, CPO, RFED or SD/MSP may be required, together with personnel, capital, customer funds and maintenance requirements. NFA membership is not a general licence for all derivatives; security-based swaps also require separate analysis under the SEC framework.
