REGULATORY OVERVIEW
Overview and reading notes
There is no single “NFA financial licence” covering all United States derivatives activities. Businesses must separately assess CFTC registration and NFA membership requirements according to whether they accept customer funds, solicit orders, provide paid advice, operate commodity pools or conduct swap market-making. Capital rules differ for FCM, independent IB, RFED and SD, and CTA and CPO must not be packaged as low-cost licences to operate forex trading platforms. This guide was prepared by Rengangyongsheng (Hong Kong) Limited, with professional explanations by business manager Regulatory facts are presented according to CFTC, NFA and relevant official materials; advisory services do not guarantee registration approval, bank account opening or commercial returns.
- Regulatory authority
- US Commodity Futures Trading Commission (CFTC) / National Futures Association (NFA, self-regulatory organisation)
- Scope of business
- Covers FCM, independent and guaranteed IB, CTA, CPO, RFED and FDM statuses, SD, MSP, and AP, and explains Principal listing, futures and retail off-exchange foreign exchange, swap business approvals, registration exemptions, and cross-regulatory boundaries. Exchange, clearing organisation, security-based swap, and state payment licences require separate analysis; this topic is not a complete directory of all US financial licences.
- Capital and finance
- Capital is calculated on an ongoing regulatory basis rather than by reference to a company’s registered capital: an FCM generally requires adjusted net capital of at least US$100 × ten thousand, with the highest amount under the applicable formula applying; an independent IB generally requires at least US$4.5 × ten thousand and may require more; a qualifying guaranteed IB may not be subject to an independent net capital requirement; the RFED/FDM base amount is US$2000 × ten thousand, with an addition for liabilities; SD capital is calculated separately under the prudential regulation, concurrent FCM business or non-bank capital pathways; an MSP not subject to prudential regulation must, in principle, maintain positive tangible net worth and meet applicable association rules. Stand-alone CTAs, CPOs and APs have no uniformly applicable net capital floor of the kinds above, but still require operating funds and corresponding financial compliance.[8] [14] [16]
- Processing time information
- The official materials reviewed do not provide a uniform approval-time commitment covering all categories. Classification, personnel examinations and fingerprints, capital funding, financial statements, systems readiness and supplemental inquiries all affect timing. Commercial estimates such as 3 to 6 months on reference pages must not be treated as statutory deadlines or as a commitment by this company. If required financial statements are not submitted within 90 days after an FCM/RFED or IB application, the pending registration status may be withdrawn; this is a documentation requirement, not a promise of approval within 90 days. [14]
01 | Registration, membership and business scope
02 | How eight statuses match actual business activities
FCM(Futures Commission Merchant,期货佣金商)招揽或接受相关订单,并接受支持订单的客户资金或其他资产。IB(Introducing Broker,介绍经纪人)招揽或接受订单,但不接受支持这些订单的客户资金。CTA(Commodity Trading Advisor,商品交易顾问)为报酬或盈利提供相关交易价值或交易建议;CPO(Commodity Pool Operator,商品池运营商)运营商品池并募集资金。 [1] [2] [3] [4]
RFED(Retail Foreign Exchange Dealer,零售外汇交易商)是特定场外外汇交易的对手方机构;SD(Swap Dealer,掉期交易商)与MSP(Major Swap Participant,主要掉期参与者)属于不同的掉期监管分类,不能仅凭公司名称或交易量选择。AP(Associated Person,关联人员)是自然人代表或监督身份,不是外汇平台或基金公司的机构注册类别。[5] [6] [15] [35]
03 | FCM: regulatory responsibilities arising from accepting customer funds
04 | IB: independent and guaranteed models
05 | CTA: trading advice, signals and discretionary account management
06 | CPO: commodity pools and fund management structures
07 | RFED and FDM: retail OTC forex is not ordinary payment currency exchange
08 | SD and MSP: market making, major positions and capital routes
[15] [16] [17]
09 | Value of applying and matters not guaranteed
10 | Eligibility and background fitness review
11 | Shareholders, directors and beneficial-control relationships
12 | APs, compliance personnel and examination requirements
[9] [15] [26] [29]
13 | Capital, source of funds and financial evidence
14 | Address, substantive office and records management
15 | Application materials should reflect the actual business
16 | Complete application steps and launch controls
[21] [23] [24]
17 | Timing, application fees, membership dues and complete budget
18 | CPO and CTA exemptions and proposed 2026 amendments
19 | Acquisitions, change of control and transfer of customer accounts
20 | Ongoing annual reviews, information updates and financial filings
[8] [16] [26]
21 | Customer protection, AML and day-to-day supervision
22 | Relationship with MSB, MTL, RIA and STO
23 | Key considerations before applying
[13] [19] [20]

Business classification and entry requirements by category
FCM | Futures Commission Merchant
The institution solicits or accepts relevant orders and accepts customer funds or other assets supporting those orders. CFTC registration and NFA membership are required. For combined retail over-the-counter forex or swap activities, separately verify the relevant specialised status and conditions; this is not a universal licence for general broker-dealers. [1]
- Capital requirements
- Adjusted net capital is generally the greatest amount determined by US$100 × ten thousand, the applicable risk-margin percentage, office/AP and combined-business capital formulas, and other applicable measures; the baseline for an FCM that is also an SD is US$2000 × ten thousand, while certain internal-model FCM/SD have a separate net capital requirement of US$1 × one hundred million. Customer assets must not be treated as company capital.[8]
- Personnel and qualifications
- At least one natural-person Principal must also be an AP, and a named Principal must be designated as CCO; forex and swaps businesses must have, at a minimum, the corresponding Principal also serving as an AP with the specific qualification, with finance, risk and supervisory personnel assigned according to function.[1]
- Ongoing maintenance
- Ongoing capital and early-warning monitoring, applicable financial and funds reports, account classification and segregation, risk reports, CCO annual reports, annual registration renewal and membership dues. Ordinary dues are 1500 or 5625 dollars depending on the DSRO; certain NFA-regulated swaps FCM7375 dollars, with additional charges for concurrent foreign exchange activities.[12] [26]
IB | Independent Introducing Broker
Soliciting or accepting relevant orders without accepting customer assets supporting those orders allows introductions to different registered FCM/RFED under compliant arrangements. Sales activities, per-transaction commissions and customer fund flows should be consistent with the actual introducing role.[2] [14]
- Capital requirements
- Adjusted net capital is generally at least US$45,000, and the greatest applicable amount is used among this, US$6,000 for each office, US$3,000 for each AP, and securities-broker capital requirements. The office/AP formula applies only under specified capital-size conditions; a bank balance alone is not determinative. [8]
- Personnel and qualifications
- At least one Principal must also be an AP; forex or swaps models require approval of the relevant personnel. AP qualifications should be analysed for solicitation and its supervisory chain, and practically implementable compliance and AML responsibilities should be established.[2] [6] [29]
- Ongoing maintenance
- Electronic financial reports for the half-year and fiscal year-end are generally due within 17 business days after the reporting date; audits and other requirements apply separately. Maintain capital, supervision, AML, annual updates and questionnaires. The general membership fee is $750, usually $2500 for a forex or swap firm; record maintenance fees are additional. [8] [11] [12]
IB | Guaranteed Introducing Broker
Sponsored by a specific FCM/RFED under a qualifying guarantee agreement; generally, the business is referred to the guarantor. Exemption from a separate net capital requirement does not exempt it from registration or business responsibilities. Customer funds may not enter an IB transaction-support account. [2] [14]
- Capital requirements
- A guarantee agreement compliant with CFTC rules may replace the independent IB minimum net capital and corresponding financial-reporting route, but actual working capital must be available. An oral guarantee from a private shareholder cannot replace a guarantee agreement from a qualifying institution.[14]
- Personnel and qualifications
- Assign Principals, APs, and applicable forex or swaps personnel according to the IB's structure, and clearly allocate oversight, AML responsibilities, and duties between the guaranteeing FCM/RFED and the IB. A guarantee does not automatically make nominal staffing arrangements compliant. [2] [29]
- Ongoing maintenance
- Maintain the surety's validity, personnel, customer documents, advertising and applicable AML. If the surety ends, arrange continuation, conversion to an independent arrangement or withdrawal in accordance with the rules. Annual registration updates, questionnaires and corresponding fees remain required, as does supervision. [21] [23] [29]
CTA | Commodity Trading Advisor
Providing direct or indirect advice for compensation or profit concerning futures, futures options, retail over-the-counter foreign exchange or swaps. Discretion over accounts, customised signals and automated software execution should be analysed according to their actual functions; they do not amount to eligibility to accept customer margin. [3]
- Capital requirements
- A standalone CTA has no uniform minimum adjusted net capital requirement of the kind described above that can be applied as 45000 or US$100 × ten thousand. Operating budgets, contractual obligations and capital requirements for other concurrently held capacities must still be met; AUM is not a uniform capital amount for CTAs.[8]
- Personnel and qualifications
- The institution lists its Principals and, under applicable requirements, has at least one also serving as an AP; dedicated personnel are assigned to foreign exchange and swap activities and must meet Series examination or Swaps Proficiency requirements according to their roles. Serving solely as a Principal does not automatically entail a Series 3 requirement.[3] [7] [9]
- Ongoing maintenance
- Applicable disclosure documents, trading authorisations, fees and conflicts of interest, advertising and performance rules; where reporting is required, NFA-PR is due quarterly or 45 days after year-end. The general membership fee is $750, and is usually $2,500 for a forex or swap firm. Annual update and record maintenance fees are additional. [12] [18] [24]
CPO | Commodity Pool Operator
Operates a commodity pool and raises funds for it. The pool may trade commodity interests directly or invest in another commodity pool. Classify the fund offering, operator and adviser roles separately; a 4.7 exemption is not an exemption from CPO registration. [4] [18]
- Capital requirements
- A standalone CPO is not subject to a uniform minimum net capital amount corresponding to the broker requirements above; pool assets are not capital freely available to the operator. When considering reliance on 4.13(a)(2), the current US$40 × ten thousand is an exemption condition relating to aggregate total contributions, not CPO registered capital; US$80 × ten thousand is the proposed threshold for 2026.[18] [20]
- Personnel and qualifications
- List individual and entity Principals, with at least one Principal also serving as an AP where applicable; check personnel qualifications separately for commodity pool marketing, supervision, and forex or swaps activities. A third-party administrator cannot replace all operational responsibilities.[4] [7] [9]
- Ongoing maintenance
- Applicable investor statements, annual pool audit reports and quarterly PQRs; generally, PQRs are due 60 days after quarter-end and pool annual reports 90 days after the relevant event, subject to verification of exceptions and extensions. A registration exemption notice may need confirmation within 60 days after year-end. The general membership fee is $750, and is usually $2,500 for a forex or swap firm. [12] [18] [24] [25]
RFED/FDM | Retail off-exchange forex counterparty
An RFED is a counterparty institution for off-exchange forex transactions covered by the rules for non-ECP customers and must have FDM status; certain forex FCMs are also FDMs. This status differs from an MSB providing payment-related currency exchange and from an IB that only introduces forex customers. [1] [5]
- Capital requirements
- The adjusted net capital baseline is US$2000 × ten thousand, including the liability add-on of 5% or 10% specified by the rules; FCM must also compare the applicable FCM formula. Assets held by affiliates or entities not subject to the prescribed regulation are subject to exclusion restrictions.[8]
- Personnel and qualifications
- List Principals, APs and forex APs, with at least one Principal also serving as a forex AP; establish responsibilities for on-site records supervision, finance, capital, systems and customer business, and meet Series 3 or 32, Series 34 and other requirements where applicable.[5] [9] [14]
- Ongoing maintenance
- Foreign exchange risk disclosures, financial and capital requirements, trading systems and reporting, FORTRESS records and annual updates; RFED initial membership fee of US$125000, followed by US$125000 to US$1000000 based on revenue. Separately verify any applicable special FCM-FDM route. Do not claim that retail foreign exchange has the same statutory funds protection as exchange-traded futures.[12] [13] [28]
SD | Swap Dealer
Assess based on actual swap market-making and dealer activities. The current general de minimis threshold for the aggregate notional amount of market-making over the past 12 months is US$80 × one hundred million; special entities, groups, exclusions and cross-border conditions require separate verification. Not all large proprietary swap transactions constitute SD activity.[15] [35]
- Capital requirements
- Assess separately under the pathways for prudential regulation, concurrent FCM business, bank-like or net capital requirements for non-banks, tangible net worth for qualified non-financial entities, and foreign substituted compliance. US$2000 × ten thousand is only one element of some pathways; applicable requirements also involve 2%, 8% and model-based capital, among others.[8] [16]
- Personnel and qualifications
- List the Principal and designate the CCO and risk responsibilities as applicable. SD APs do not register in the ordinary AP category, but are subject to statutory disqualification review; APs of NFA-member SDs must complete applicable swap proficiency requirements. [9] [15]
- Ongoing maintenance
- Applicable regime under Section 4s, trade and financial reporting, capital, margin, risk and annual updates; application fee of 15000 US dollars. From 2026-7 to 2027-6, annual fees are 1465000 US dollars for Tier1, 365000 US dollars for Tier2 and 282500 US dollars for specified associated status, billed quarterly.[11] [13] [15] [16]
MSP | Major Swap Participant
Tests for significant positions, significant counterparty exposure or highly leveraged financial entities applicable to non-SD entities; commercial hedging and specific entity exceptions require analysis. An MSP is not a small SD or a low-cost market-making status that can be elected at will. [35]
- Capital requirements
- Entities without a prudential regulator must, in principle, continuously maintain positive tangible net worth and meet applicable association requirements; separate rules apply to entities that are also FCMs or qualify for foreign substituted compliance. It must not be stated that all MSPs are subject to a fixed US$2000 × ten thousand requirement.[16]
- Personnel and qualifications
- List a Principal and assign applicable CCO, trading, risk, and reporting responsibilities; its APs are not required to register as ordinary APs, but applicable disqualification screening still applies. Do not indiscriminately apply all proficiency rules for NFA-member SDs to MSPs. [15]
- Ongoing maintenance
- Applies to Section 4s filings, capital reports, swap records, reporting and ongoing updates; application fee of $15,000, ordinary MSP annual fee of $200,000, and other effective arrangements including $282,500 for an affiliated MSP covered by the rules. [11] [13] [15] [16]
AP | Associated persons
An individual who solicits orders, customers or customer funds, or supervises that activity, on behalf of an FCM, RFED, IB, CTA or CPO. Requirements cover the supervisory chain; AP is not a company platform operating licence. Associated persons of SD/MSP are subject to different rules.[6] [15]
- Capital requirements
- A sole AP capacity does not have an institution-level adjusted net capital minimum. Institutional sponsorship, background and personnel qualifications cannot be replaced by personal deposits or examination results. If applying as a sole proprietor for another institutional or membership status, analyse the requirements separately for that status. [6] [9]
- Personnel and qualifications
- The appropriate sponsor submits Form 8-R; the individual completes identity verification, fingerprinting and proficiency requirements. The general application fee is 85 dollars, with exceptions for certain existing statuses and other cases. Forex or swaps personnel require specific qualifications and approval. [6] [9] [11]
- Ongoing maintenance
- Continue to comply with the guarantee relationship and scope of business, and promptly notify the guarantor and update information that is inaccurate; departures, changes of firm, multiple roles and interruptions in qualifications must be addressed separately. Qualifications held before departure cannot be used to continue representing the former firm. [6] [22]
Principal | A listed responsible-person status, not a registration category
Listing may be triggered by a director or specified management role, an individual’s direct or indirect equity and voting interests, profit rights, contributions or substantive control. The rules for direct and indirect ownership differ between entities and natural persons. Principal is not a licence to operate independently. [7]
- Capital requirements
- There is no separate minimum net capital amount for the listing itself, but a capital contribution reaching the relevant proportion may trigger the definition of Principal; shareholder contributions and loans must still meet the institution's capital calculation, source disclosure, and ongoing use requirements. [7] [14]
- Personnel and qualifications
- An individual Principal generally submits and verifies Form 8-R and fingerprints, with a fee usually of US$85; a Principal who is also an AP pays only one standard application fee. Merely being named does not automatically require Series 3; actual solicitation, supervision or other functions may trigger separate personnel obligations.[7] [9] [11]
- Ongoing maintenance
- Changes to ownership, positions, control, profit rights and disciplinary information must be updated promptly; nominees or shell management arrangements must not be used to avoid disclosure. Duties such as those of the CCO must be genuinely performed. Assistance from a consultant does not relieve the firm or individuals of responsibility.[7] [22]
Frequently asked questions
Does an NFA ID mean that a firm has obtained a full US financial licence?
No. An NFA ID is identifying information. The institution must also verify the CFTC registration category, NFA membership status, specific approvals, individuals' identities and restrictions. Submitting an application, being listed as a Principal or obtaining a system account does not prove that all financial activities are authorised. [1] [7] [21]
Already completed FinCEN MSB registration; is NFA or an MTL still required?
Must be assessed according to the business activity. MSB is a registration under the BSA framework, not government endorsement, and does not replace derivatives registration or a state MTL. If actually conducting leveraged retail foreign exchange, introducing futures, advising on commodity trading, or operating a commodity pool, check the corresponding CFTC/NFA requirements. Persons regulated by SEC/CFTC may also be excluded from the MSB definition; do not mechanically combine every status. [5] [32] [33]
Can an IB collect customer funds first and then transfer them to an FCM?
The definition of an IB does not allow it to accept customer funds or other assets that support the relevant transaction orders. Routing funds first through an IB, an individual, or an ordinary collection account of its agent before transferring them onward does not resolve the issue merely by calling it “collection on behalf of another.” The customer funds flow must align with the actual role and arrangements with qualified institutions.[2]
Is a bank balance of 45000 dollars enough for an independent IB?
Not necessarily. $45,000 is one minimum component of adjusted net capital; the applicable office, AP and securities broker-dealer capital formulas must also be applied, and the highest amount governs, after deducting liabilities and non-allowable assets. The NFA encourages independent IBs to retain at least $5,000 above the minimum net capital as a buffer; this is a recommendation, and operating costs may require more funding. [8] [14]
Is a guaranteed IB exempt from registration, examinations and annual renewal?
No. A guarantee agreement may exempt a qualifying guaranteed IB from the independent net capital requirement, but the firm must still register, maintain membership and applicable personnel qualifications, and meet supervisory and other obligations. Termination of the agreement, becoming independent or changing guarantors should be handled under the specific rules; do not wait for the next annual renewal. [2] [14] [21]
What is the difference between a CTA and a CPO?
A CTA focuses on providing compensated commodity trading advice or managing related accounts; a CPO focuses on operating a commodity pool and raising funds for it. The same management structure may involve both sets of obligations, or specific ancillary activities or exemptions; the operating entity, investment adviser and sales roles must be analysed.[3] [4] [18]
Can a CTA or CPO operate a forex market-making platform?
Not on the basis of CTA or CPO status alone. As a retail off-exchange forex counterparty, consider the RFED, qualifying FCM/FDM or other legally permitted counterparty pathways. Approval as a forex CTA, CPO or IB is specific to advisory, commodity pool or introducing activities, and is not equivalent to market-making authorisation. [1] [3] [4] [5]
Must every director and shareholder pass Series 3?
No. A person is listed as a Principal because of their position, interest or control relationship, but this is not itself a registration category and does not automatically trigger Series 3. Whether they also serve as an AP, individual member, or personnel in forex or swaps activities determines the applicable proficiency requirements. Each person should be assessed individually rather than treating all shareholders as sales representatives. [7] [9]
Can I solicit clients immediately after passing Series 3?
An examination alone does not permit you to begin practising. An ordinary AP also needs appropriate sponsorship, Form 8-R, verification, fingerprints, background checks and applicable approvals. Series 3 currently has 120 scored questions, requires a passing score of 70% in each of the two parts, and costs 140 dollars. Sponsorship may not be required for examination registration, but the examination and final personnel registration are separate steps.[6] [10] [30]
Must all employees of SDs and MSPs apply for AP registration?
CFTC does not require AP personnel of SD/MSP firms to register under the ordinary AP category, but the firms must conduct the relevant statutory disqualification checks. AP personnel of an NFA-member SD must also complete the applicable Swaps Proficiency. If personnel also represent an FCM, IB, CTA or CPO in activities requiring AP registration, that role should be handled separately.[9] [15]
Can an overseas company apply? Must it establish a US company?
A blanket conclusion is not appropriate. Official rules and application materials provide pathways for foreign entities and specific foreign business activities, but customer, regulatory, recordkeeping and office requirements must be analysed by category. FCM/FDM have explicit local supervision and records-office requirements, and an FCM meeting Part 30 conditions has a separate overseas pathway. Foreign incorporation or a US mailing address cannot replace a substantive assessment.[1] [14]
Can a registered agent address substitute for a substantive office?
A service address does not automatically satisfy business office requirements. The relevant FCM/FDM office must maintain required records and have a resident, listed Principal and registered AP providing supervision; a specific exception applies to certain FCMs. Other categories also require truthful disclosure and effective arrangements for access to records. Banks independently assess actual operations. [14]
Is completion of the application guaranteed within 3 to 6 months?
No guarantee. The official materials reviewed do not provide a uniform processing-time commitment for all categories. Capital, financial statements, background checks, personnel, systems and the pace of responses to enquiries all affect the outcome. Failure to submit required financial statements within 90 days after applying may result in withdrawal of the application from pending status; this does not mean the regulator promises approval within 90 days. [14]
Can a registered company be acquired, renamed and opened for business immediately?
No conclusion can be drawn from this alone. Distinguish stock and asset transactions, the registered entity, control persons, AP, capital, guarantees and business changes. Promptly update Form 7-R, Form 8-R and questionnaires, and confirm any required approvals or counterparties' consent. Bulk customer transfers by an FDM are also subject to specific advance-notice and customer-handling procedures; an acquisition does not eliminate existing compliance responsibilities.[22] [23] [27]
Is a commodity pool with fewer than 15 participants automatically exempt from CPO registration?
No. 4.13(a)(2) also involves aggregate capital contributions to each pool not exceeding 400000 dollars, exclusions for persons and contributions, notice and ongoing conditions. The 2026 proposal to increase this to 800000 dollars must still be understood as proposed and cannot be used directly as a new threshold. Other commodity pool exemptions have different investor, trading and marketing conditions. [18] [19] [20]
Does the 4.7 qualified-investor relief mean that CPO registration is unnecessary?
No. 4.7 provides specific disclosure, recordkeeping or reporting relief that a registered CPO or CTA may claim when conditions such as QEP status are met; it differs from the 4.13 registration exemption. The specific filing, pool or client scope and retention obligations must be verified; it should not be promoted as “all professional investor funds are exempt from regulation”. [18]
Does registration expire each year, and is paying membership dues all that is required for maintenance?
Registration generally continues until revoked or withdrawn, but annual registration renewals, recordkeeping fees, membership dues, questionnaires and corresponding reports must be completed as required. Deadlines differ for PQR, PR, financial statements, pool annual reports and CCO annual reports, and changes in information must be updated promptly; paying membership dues does not replace other ongoing obligations. [11] [21] [23] [24] [25] [26]
Are RFED customer funds protected in the same way as exchange-traded futures funds?
Not the same. The CFTC's statutory retail forex disclosure makes clear that these over-the-counter transactions do not receive the same customer-fund protections as exchange-traded futures and that, if the dealer becomes insolvent, customers may be unsecured creditors. Opening a separate account does not automatically create equivalent statutory segregation or bankruptcy priority as for futures. [28]
Can an RIA and a CTA substitute for one another?
They cannot directly substitute for each other. RIA primarily concerns securities advice for compensation, while CTA concerns the corresponding commodity trading advice. The SEC generally permits registration when RAUM reaches US$1 × one hundred million and generally requires registration at US$1.1 × one hundred million; those already registered with the SEC usually need to withdraw only when it falls below US$9000 × ten thousand. There are also exceptions concerning mid-sized advisers, state regulation at the principal place of business and other circumstances. These are RIA thresholds, not CTA capital or category requirements.[3] [31]
Is there a single US STO licence, and can NFA replace it?
There is no single STO licence that broadly covers issuance, sales and trading. Security tokens should be analysed separately for issuance registration or exemption, broker and adviser status, trading venue and ongoing disclosure. NFA registration or FinCEN MSB registration cannot replace these securities law requirements; staff disclosure statements are not new licences or exemptions. [34]
