REGULATORY OVERVIEW
Overview and reading notes
An MTL is not a single licence that permits operations throughout the United States; it is a combination of authorisations assessed separately according to actual business activities, customer locations and state law. Remittances, payment collection and disbursement, stored-value wallets, payment instruments and some digital asset services may trigger state-level licensing requirements; FinCEN MSB registration, company registration or other financial registrations do not automatically substitute for them. A project must also prepare genuine sources of funds, tangible net worth, a state-accepted surety bond or alternative security, coverage for outstanding customer obligations, qualified personnel and the ability to meet ongoing reporting requirements. Obtaining a licence does not guarantee a bank account, clearing access, financing or any investment return.
- Regulatory authority
- State financial regulators are responsible for state-level licensing; FinCEN is responsible for applicable federal MSB registration and BSA supervision. NMLS is an application and maintenance platform, and CSBS is an organisation coordinating state regulators; neither replaces approval by state regulators.
- Scope of business
- Applicable to institutions planning to receive and transmit money or monetary value, issue or sell payment instruments, operate stored-value wallets, or conduct certain payroll disbursement or digital asset businesses for customers in relevant US states. Whether payment processing, agency, closed-loop products or pure technology services are excluded or exempt must be checked separately against federal definitions and each state's laws. This topic does not claim to cover every state-specific subcategory of licence.
- Capital and finance
- There is no uniform nationwide capital or surety bond amount. Tangible net worth, a state surety bond or approved alternative security, qualifying investments covering customers’ outstanding obligations, and working capital must be calculated separately. Current tangible-net-worth rules in California and Texas use the higher of a $100,000 floor and a tiered asset-ratio calculation; this formula cannot be generalised to all states. Different business activities in California may also require cumulative surety bonds.
- Processing time information
- There is no uniform nationwide official commitment on approval times. Preparation, completeness confirmation, foreign background checks, financial audits, bond underwriting, requests for additional information and substantive review by each state all affect timing. Current Texas law provides for a decision within 120 days after written confirmation that an application is complete, and allows extensions for good cause. This does not mean a licence is guaranteed within 120 days of initial filing. Commercial project timelines should be identified separately as estimates; no completion date is guaranteed.
01 | Nature and business scope of an MTL
Money Transmitter License
02 | Which activities require MTL licensing analysis
03 | Exceptions for payment processing, agents and closed-loop products
04 | Value of applying and outcomes a licence cannot guarantee
05 | Applicant entity and eligibility preparation
06 | Shareholders, directors, controllers and overseas investigations
07 | Compliance roles, competence and examination boundaries
08 | Tangible net worth, capital and source of funds
09 | Surety bond amount, premium and state-by-state differences
Surety bond
10 | Customer funds, compliant investments and outstanding obligations
NMLS MSB Call Report
11 | Registered address, legal service and operational substance
Registered agent
12 | Building an application package that can be reviewed
13 | Complete steps from business assessment to lawful launch
14 | Multi-state arrangements, MTMA and MMLA: their actual role
15 | Montana is not a shortcut around other states' licensing requirements
16 | Approval timing, official fees and realistic budget
17 | Acquiring a licensed company and change of control
18 | Banks, payment channels and customer contracts
19 | Day-to-day implementation of anti-money laundering, sanctions and consumer protection
20 | Renewals, annual reports, quarterly reports and material events
21 | Digital assets, BitLicense, DFAL and stablecoins
22 | An MTL cannot replace an RIA, NFA or STO
23 | Regulatory examinations, cessation of business and exit of customer balances
Business classification and entry requirements by category
Domestic and cross-border remittances, collections and payments on behalf of others
This is a common business function considered in MTL licensing analysis, not a uniform standalone licence name across the United States. Determine receipt of customer funds, payment responsibilities, ultimate beneficiaries and the states where customers are located. For cross-border payments, also check foreign partners and consumer remittance rules; using bank clearing does not automatically exempt an activity from licensing.
- Capital requirements
- Calculate coverage for the relevant state's tangible net assets, funds transmission coverage, and outstanding customer obligations. In California, funds transmission coverage ranges from a minimum of US$250,000 to a maximum of US$7,000,000; the final amount must be determined according to statutory obligations and regulatory requirements and does not apply to all states. [10]
- Personnel and qualifications
- Assign an appropriately capable BSA/AML officer, transaction investigations, funds reconciliation, payment channels and customer service responsibilities. Explain arrangements for scale and dual-hatting in light of risk and state requirements. There is no uniform nationwide team size.
- Ongoing maintenance
- Maintain state-by-state reporting and surety, reconcile funds in transit, and supervise agents. Those subject to the NMLS MSB Call Report must file quarterly; the foreign remittance destination-country section is completed annually in Q4, with state supplemental reports checked separately.[16]
Stored-value wallets and prepaid value
Confirm the issuer, outstanding debt, participating merchants, transfers and redemption capabilities. A closed-loop exclusion does not automatically extend to open-loop wallets, cash redemption or products usable across merchants. Product changes require a new licensing analysis.
- Capital requirements
- Calculate according to stored-value obligations and state licence conditions. In California, payment instrument and stored-value coverage is the greater of US$500,000 or 50% of average daily outstanding obligations, capped at US$2,000,000; it may be combined with funds transmission coverage. [10]
- Personnel and qualifications
- In addition to a compliance officer, there should be assigned responsibilities for balance accounting, redemptions, product terms and customer complaints, with the ability to explain who owes money to customers and how balances are protected.
- Ongoing maintenance
- Continue to reconcile outstanding issuance balances, redeemed amounts and unclaimed property, and report new functions and relevant material changes. An account name or a marketing term such as “prepaid” does not replace the analysis of balance obligations and regulatory scope.
Payment instruments and travellers' cheques
For issuing or selling money orders, travellers' cheques and other payment instruments, check the state-law definitions and the roles of the issuer and agent; do not conflate these activities with mere cheque cashing or ordinary credit card processing.
- Capital requirements
- Calculate according to outstanding obligations on issued instruments, state coverage, and eligible investments. This function in California is subject to the coverage under Section 2037(d); the minimum for funds transmission alone cannot be applied. [10]
- Personnel and qualifications
- Arrange issuance controls, agent accounting, settlement and anti-money laundering responsibilities to prevent forgery, duplicate payments, agent arrears and premature write-off of unsettled instruments.
- Ongoing maintenance
- Continue to track instrument redemption, refunds, agent reports and guarantees. An outstanding instrument obligation does not end merely because it has been transferred to an intermediary. [26]
Payroll disbursement and bill payment
Texas includes within its definition of money transmission certain payroll processing involving receipt of funds followed by payment to employees, tax authorities or benefit plans; different boundaries apply where a business processes payroll only for itself or certain related parties. Whether bill payment qualifies for an exception must be checked against the agreements, clearing system and state law; it cannot be determined by the name of the software service. [1] [4]
- Capital requirements
- Once the activity constitutes state-level money transmission, applicable capital, security and funds-in-transit obligations must be maintained. There is no single nationwide standalone capital amount for payroll providers. Taxes and wages cannot be treated as platform operating revenue.
- Personnel and qualifications
- There should be responsibility for payroll and tax remittances, reconciliation of funds, complaints and emergencies, and compliance, ensuring that payment deadlines, error corrections and customer-fund incidents can be handled promptly.
- Ongoing maintenance
- Track obligations to employees, the government or other payees that remain unpaid; monitor changes in contracts and business functions, and maintain licence reporting in each state. If ordinary payroll software does not receive or control funds, assess separately based on the facts.
Digital asset exchange, custody and transfer
Assess virtual-currency and fiat-funds functions separately. New York may involve a BitLicense or an authorised trust route, while California may involve DFAL. An MTL and FinCEN registration do not automatically replace digital-asset-specific authorisation; stablecoin issuance and security tokens also require separate assessment. [18] [19] [20]
- Capital requirements
- MTL requirements are calculated in part by state; capital and customer asset safeguards for digital asset authorisations are governed separately by the relevant rules. The fact that ordinary MSBs have no uniform capital threshold does not mean that custody or stablecoin projects have no capital obligations.
- Personnel and qualifications
- Implement responsibilities for wallet and private-key controls, customer-asset reconciliation, on-chain risks, sanctions, transaction investigations and information security. Outsourcing custody does not automatically release the licensee from its responsibilities to customers. [26]
- Ongoing maintenance
- Check approval or change requirements for new coins, networks, custodians and products, and track the DFAL transition and GENIUS effective-date arrangements. As of 2026-11-04, the OCC final rule had been published but had not yet taken effect; it must not be treated as fully implemented. [20]
Adjacent businesses: currency exchange, cheque cashing and agent models
These are adjacent categories, not all of which are equivalent to an MTL. Texas separately licences money exchange alone; check-cashing and authorised delegate arrangements must also be assessed under the state's separate requirements. FinCEN's exception for agents cannot be treated as proof of exemption from every state's licensing requirements. [5] [14]
- Capital requirements
- Do not apply MTL amounts. The surety for a specific in-person currency exchange model in Texas is 2,500 dollars; other models must be calculated separately under state law, with the amount reaching up to 1,000,000 dollars. This example cannot be generalised as the minimum funds for currency exchange throughout the United States. [1]
- Personnel and qualifications
- Assign customer verification, cash security, accounting, and principal licence oversight responsibilities according to exchange, redemption, or agency activities; verify personnel checks and related training under applicable licences.
- Ongoing maintenance
- Maintain your own authorisation or valid agency relationship, relevant state reports and BSA obligations. Reassess whether separate registration and licensing are required when adding self-operated activities or changing agents or the way funds are controlled.
Frequently asked questions
Does completing FinCEN MSB registration mean you have obtained an MTL nationwide?
No. An MSB is a federal BSA registration, while an MTL is a licence obtained under state law. The list of states served in a FinCEN registration is reported by the business; it is not proof of approval by each state and does not constitute government endorsement of the legality or reliability of the business. [2] [5]
Is an MTL still required when providing only online remittances without a US physical outlet?
May still be required. Texas and California assess in-state activity using information such as the locations of customers in electronic transactions; each business and customer state should be analysed individually. Obligations cannot be ruled out solely because there is no physical premises, the servers are overseas or the team is abroad.[1] [29]
If a company is registered in Montana, can it bypass other states’ licences?
No. Montana expressly does not regulate the transmission of money alone, although other business activities may require separate licences. Services to customers in other states still require checking those states' requirements. Montana company registration and FinCEN registration do not create nationwide state-level financial licences.[13]
Are all payment processing companies eligible for the Payment Processor exemption?
The name alone is not determinative. FinCEN's exception requires conditions such as payment for goods or services, a qualifying clearing and settlement system, a formal agreement, and an agreement with a merchant or creditor. Even if federal conditions are met, state-level exceptions must be checked separately. Changing how funds are delivered may change the conclusion.[4]
Is it sufficient to rely on a partner bank's or licensed institution's licence?
Only genuine agency, bank partnership or other arrangements meeting the relevant state's conditions can form the basis of this analysis. Contracts, responsibility when funds are received, and supervision must be implemented; private licence rental, borrowing numbers or independent operation by an unlicensed entity cannot be treated as compliant authorisation.[29]
Can foreign shareholders participate in the application? Must directors have green cards?
A foreign background does not automatically disqualify an applicant; check entity and personnel qualifications by state. Do not claim there is a nationwide requirement for US-citizen shareholders or green-card-holding directors. Foreign residence and the background of control persons may require more comprehensive independent English-language investigations and other evidence.[1]
Must a compliance officer pass the uniform MTL examination or hold CAMS?
The official materials reviewed for this inquiry do not provide for a nationwide MTL examination or a uniform mandatory CAMS threshold. Certifications can support a demonstration of competence, but cannot replace a designated compliance officer, effective policies, training and state regulatory fitness review; securities or futures examinations for other business lines should be assessed separately by category.
Does $100,000 represent the minimum capital in every state?
No. California and Texas currently use the greater of a $100,000 floor or a calculation based on tiered percentages of total assets, but states may apply different standards, conditions or regulatory requirements. A surety bond, coverage for outstanding customer obligations and operating cash must also be prepared; the entire project cannot be budgeted using only the minimum net worth. [1] [9]
Is the surety bond amount the fee that must be paid to the government?
No. The bond amount is the limit of the surety's liability; premiums, collateral and counter-guarantees are matters of the underwriting contract, while state application fees are separate. A surety bond is not deposit insurance for customers and cannot automatically replace regulatory capital or all customer-fund protections.
Funds have already been delivered to an overseas agent; can they be excluded from liabilities?
The obligation is not eliminated merely because funds have been delivered to an intermediary payment provider. NMLS guidance calls for assessment based on the conditions and evidence concerning funds reaching beneficiaries, refunds, or disposition of unclaimed property as required by law. Retain records of channel completion times and reconciliation methods for state regulatory review.[26]
Can a company account, MU1 submission or application receipt from NMLS allow a business to start operating?
Generally, these should not be treated as licences. An account is system access, a submission is an application, and confirmation of completeness is not substantive approval; obtain a valid state licence and meet commencement conditions. California DFAL has specific application transition rules, which should not be generalized to mean that an ordinary MTL permits business before approval. [1] [7] [19]
Does MMLA grant a nationwide licence through a single application?
No. It coordinates a two-stage review of common materials and state-specific matters, while each state still makes its own approval decision. Official guidance indicates that the process may not be suitable for applicants planning to apply in fewer than five states over the next 12 months; passing stage one does not mean that licences have been granted in all states.[11]
Are MTLs usually approved in a few months, and can the timeframe be guaranteed?
There is no uniform official commitment across the United States. Commercial estimates must specify their scope and starting point and cannot be guaranteed. Texas’s decision process within 120 days after confirming a complete application may also be extended for good cause, and a complete application does not mean approval is certain. Overseas investigations, requests for additional materials, capital and banking arrangements can also affect project timing.[1]
Can you buy a licensed company, change the shareholder the same day and immediately start operating?
Do not assume this is permitted. Change-of-control transactions generally require prior approval; licence restrictions, capital, customer funds, prior penalties and bank contracts also require due diligence. FinCEN's 180-day re-registration rule is not a state acquisition-approval grace period, and closing first and relying on a later filing under that rule is not appropriate.[1] [5] [15]
Does the licence have no fixed expiry date, and does that mean no annual review or maintenance is required?
No. Texas still has annual fees, reporting obligations and ongoing financial requirements; failure to comply may result in cessation of operations at expiry. State renewals, audited financial statements, NMLS and state Call Report submissions, event filings, and FinCEN's biennial registration renewal should be managed separately.[1] [5] [16]
Can an MTL be used to conduct crypto-asset business, issue stablecoins and conduct an STO?
Coverage cannot be assumed across the board. Virtual currency, fiat currency transmission, stablecoin issuance and security token issuance are distinct regulatory issues; New York BitLicense, California DFAL and GENIUS-related permissions require separate assessment, and STO is not a single licence. The GENIUS final rule published by the OCC in 2026-10 had not yet taken effect as of the verification date.[18] [19] [20] [25]
Can an MTL substitute for RIA or NFA registration?
No. RIA status is assessed according to investment advisory activities, RAUM thresholds and exceptions; NFA/CFTC status is assessed separately for CTA, CPO, FCM, IB, RFED and SD activities and individual roles. An ordinary money transmission licence does not authorise securities investment management, leveraged retail forex or derivatives intermediary activities. [23] [24]
Can the surety bond and customer funds be released immediately after operations cease?
Not necessarily. Balances, funds in transit and historical liabilities must first be addressed, and coverage may also have a statutory tail period. The relevant coverage requirements of at least four years in California and at least five years in Texas each have conditions for reductions or alternatives. These are determined by state rules and arrangements accepted by regulators, rather than automatically falling to zero on the date of cancellation.[10] [1]
