Different compliance pathways for different US financial businesses.
Compare operating licences, federal registrations, memberships and securities offering arrangements separately. The table is an entry point for selecting an option, not a conclusion about the licence required in an individual case.
Money services business registration and anti-money laundering regulatory status under the Bank Secrecy Act; not a federal operating licence. Inclusion in the public directory does not constitute a government recommendation, legality certification or endorsement of creditworthiness.
U.S. Department of the Treasury FinCEN; state business licences are administered separately by each state.
Determine categories based on actual activities, such as money transmission, foreign exchange, cheque cashing, money orders and traveller's cheques, or prepaid access. Exchanging, administering, or transmitting convertible virtual currency may also constitute money transmission. This does not replace state MTL, New York BitLicense, securities, or derivatives qualifications. Certain entities substantially regulated by the SEC/CFTC may be excluded from the MSB definition; registration should not be mechanically layered on.
FinCEN registration itself has no uniform minimum share capital, net worth or surety bond. State licences, customer-fund protections and bank requirements are separate. “No federal capital threshold” does not mean that a business can operate with no funds.
Initial registration is generally due within the statutory 180 days after the business is established; an AML programme has a separate 90-day establishment and implementation period. Neither is a grace period for operating without a required licence. The time it takes to appear in the registry does not usually mean approval to conduct business, and there is no uniform commitment for completion of every step.
Numbers cannot be bought or sold separately from the registered entity. A transfer of more than 10% of equity or voting rights, or a change of control requiring re-registration under state law, may trigger re-registration, which generally must be filed within 180 days of the triggering event. State prior approval and bank consent are handled separately.
Renew registration for each two-calendar-year period, submitting by the last day of the year preceding the start of the next period; the timing is not calculated by reference to the second anniversary or annual licence renewal. Revise the agent list annually; continuously implement AML, applicable SAR/CTR requirements, funds transfer recordkeeping and independent reviews, and maintain state licences.
A combination of business licences obtained under state law and for actual business activities, not a single licence covering the entire United States. NMLS is an application and maintenance system, and CSBS is a coordinating organisation; neither replaces state approval.
Relevant state banking, financial services or financial institution regulator; determine federal BSA/MSB status separately.
Remittances, collection and payment services, payment instruments, stored-value wallets, and some payroll disbursement or digital asset services are assessed based on the customer’s location, control of funds and state definitions. The federal payment processor exemption does not automatically constitute a state exemption; incorporation in another state, overseas servers or having no storefront does not necessarily exclude requirements in the customer’s state.
No nationally uniform minimum. Calculate tangible net worth, a surety bond or approved alternative security, qualifying investments covering customers’ outstanding obligations, and working capital separately. The state and business volume affect the amounts; the bond face amount is not the premium, and customer balances are not the company’s own capital.
There is no uniform approval commitment across the United States. Texas has a 120-day decision mechanism after the regulator confirms in writing that an application is complete, with extensions possible for good cause; this example cannot be generalised as a standard for all states, nor does it guarantee that a licence will be granted following the initial upload.
Equity or asset transactions must be reviewed state by state; licences cannot be rented or transferred separately. A change-of-control acquisition in California or Texas requires prior written approval; verify the triggers, approval or notification rules of other states separately, and address FinCEN re-registration, surety bonds and bank contracts.
Continue to maintain net worth, guarantees and coverage of customer obligations, and handle renewals or annual fees, financial statements, agents and material-event filings as required by each state. Where the NMLS MSB Call Report applies, file within 45 days after quarter-end; state supplementary reports and annual deadlines are separate and should not all be described as one annual licence renewal.
A specific virtual currency business licence under New York State Part 200. A bank or limited purpose trust approved by NYDFS may follow a different authorisation pathway; a trust charter and a BitLicense are not the same qualification.
New York State Department of Financial Services (NYDFS).
Virtual currency transmission involving New York or New York residents, custody, holding or control on behalf of customers, buying and selling or exchange as a customer business, and control, administration or issuance. Operations abroad may also trigger applicability; a BitLicense does not grant trust fiduciary powers, replace the MTL required for fiat currency transmission, or confer securities broker, RIA or futures authority.
The amount and form of capital are determined case by case by NYDFS based on business risk; there is no uniform minimum capital amount. The general minimum of 500,000 dollars applies to separate client-protection surety or a dedicated dollar account, which may be required at a higher amount; it is not minimum capital, an application fee or operating funds.
New applications are filed through NMLS. Once the regulator determines that an application is complete, approval or denial generally occurs within 90 days, subject to reasonable extensions; the preparation and completeness-confirmation stages before that are additional, so there is no uniform total processing time. A complete application for a change of control, corresponding merger or acquisition of substantial assets generally has a 120-day decision period, which may also be extended.
Actions that may cause a change of control, statutory mergers or significant asset acquisitions require prior written approval. Direct or indirect voting rights reaching 10% create a presumption of control, and actual control below that percentage may also trigger the requirement; new products and custody arrangements are not automatically approved by an acquisition.
A standard licence remains effective until surrendered, revoked, suspended or otherwise terminated; it does not automatically expire each year. Quarterly financial statements are submitted within 45 days after quarter-end. The deadline for annual audited financial statements must be verified against the applicable notice or agreement, rather than uniformly applying 120 days. Other obligations include annual AML testing, cybersecurity, token-listing and custody controls, regulatory fees, and keeping relevant business records for at least seven years.
A BD generally involves a combination of SEC registration, FINRA membership, applicable state and personnel registrations; an ATS is a trading-system arrangement operated under Regulation ATS, not an offering exemption or an ordinary exchange licence.
SEC, FINRA and applicable state securities regulators; SIPC is an independent statutory customer property protection mechanism, not insurance for investment returns.
Whether activity constitutes effecting securities transactions for others, transaction-linked compensation, underwriting, market making, introductions or providing clearing is assessed by its actual function. An ATS generally must be a registered BD and meet requirements for trading systems; Form ATS for non-NMS stocks is a notice, not SEC approval of a platform, and the ATS-N procedure for NMS stocks differs. Issuer STOs and ongoing securities advice by an RIA require separate analysis.
Regulatory net capital is calculated according to the business model and the higher applicable formula; it is not the same as share capital or a bank balance. A restricted model that strictly does not receive or hold customer funds or securities may require 5,000 dollars; certain fund businesses, 25,000 dollars; fully disclosed introducing firms that receive but do not hold customer securities, 50,000 dollars; a general Dealer, 100,000 dollars; and carrying accounts generally start at 250,000 dollars. Risk deductions, ratios and FINRA operating requirements may be higher; there is no uniform separate capital tier for ATS.
SEC grants registration or initiates proceedings to determine whether to deny an application within 45 days of a complete application; FINRA generally processes a materially complete new membership application under a 180-day procedure, subject to requests for additional information and extensions. An initial Form ATS notice for non-NMS stocks must be filed at least 20 days before operations; this does not mean all qualifications are obtained in 20 days. Personnel, clearing and state registration are additional.
Changes in direct or indirect ownership or control of 25% or more, among other applicable changes, may trigger a FINRA CMA. A change of control generally must be submitted at least 30 days in advance. Some transactions may be implemented before the review is complete but may be subject to interim restrictions; material business changes generally must be implemented only after the process is complete. It is inaccurate to say that all transactions require approval before closing or that filing alone permits operations.
Continue to meet net capital, applicable FOCUS, customer asset and supervisory requirements. The annual financial audit is generally filed within 60 days after the fiscal year-end; only those meeting specified conditions may extend this to 90 days under the applicable arrangements. SIPC, FINRA/state and personnel maintenance, AML testing, continuing education and ongoing ATS reporting also apply; this is not a single licence renewed once a year.
Registration of advisers providing compensated securities advice and asset management; entity RIA, individual IAR, state notice filings, and fund or product offerings are separate levels. Registration does not mean the government endorses investment ability.
SEC or applicable state securities regulators; NASAA provides models and coordination, while FINRA operates IARD/CRD and related examinations and is therefore not the primary regulator of ordinary RIAs.
Securities investment advice, portfolio management, securities wealth advice and qualifying fund management. Under the ordinary size-based pathway, RAUM reaching US$1 × one hundred million permits SEC registration, while reaching US$1.1 × one hundred million generally requires registration; advisers already registered with the SEC generally move to state registration only below US$9,000 × ten thousand. There are also principal-business-state examination requirements, provisions for mid-sized advisers in New York and other exceptions. ERA exempt reporting status is not equivalent to full RIA registration and cannot replace BD, offering or commodity adviser qualifications.
An ordinary SEC RIA has no nationally uniform minimum net capital. For state-registered advisers, check net worth and surety bond requirements based on custody, discretionary management, prepaid fees and other factors. RAUM is a regulatory calculation of customer assets, not company capital. California examples: $35,000 for an adviser subject to the custody-of-client-assets requirement and $10,000 for discretionary management without custody; these are not nationwide standards.
SEC generally grants registration or initiates proceedings to determine whether to deny a formally qualified and complete initial application within 45 days. If omissions are resubmitted, the period may restart; there is no uniform nationwide state processing commitment. Examinations, personnel, custody and banking arrangements are additional. Filing ADV does not mean authorisation to provide services has been granted.
Separately determine whether the matter involves an equity transaction in the original entity, an asset transfer, succession, or a new registration, and promptly update ADV and personnel affiliations. A change in control may constitute an assignment of advisory contracts, requiring review of client consent and state requirements; a blanket “30-day non-objection” cannot replace consent, nor can a registration number be bought for use by a new entity.
An annual ADV update is generally due within 90 days after the fiscal year ends, with material changes amended promptly as required by the form. Other requirements include state/IAR renewal fees, applicable continuing education, at least annual compliance reviews, and custody or fund audits when conditions trigger them. The adviser-specific AML/CFT and SAR rules have formally been postponed to 2028-1-1; do not describe them as fully implemented as of the reference date. Other obligations arising from existing statuses remain applicable.
A description of securities issuance activities; there is no uniform “STO licence”. Choose a securities registration or qualifying pathway such as Reg D, Reg S, Reg A or Reg CF for the offering and sale, then separately assess intermediaries, trading, advisory and custody activities.
SEC and applicable state securities regulators; BD and crowdfunding intermediaries involve FINRA, while commodity derivatives and money services status require separate assessment.
Tokenisation of equity, debt, fund interests and project interests that constitute securities. Reg D 506(b) prohibits general solicitation; under 506(c), all purchasers must be qualified and reasonably verified. Reg S requires genuine offshore transactions and sales restrictions. Reg A requires US or Canadian formation and a principal place of business. Reg CF requires an eligible US issuer and a registered intermediary. An offering exemption does not remove separate requirements at the BD/ATS, RIA or fund level.
There is no uniform minimum paid-in capital requirement across the four STO pathways. Rule 506(b)/(c) has no federal cap on the amount raised; the rolling fundraising limits for the two Reg A tiers and Reg CF restrict offering size, rather than setting minimum capital requirements. Regulatory capital is calculated separately when establishing an in-house BD/ATS or another licensed intermediary; subscription funds do not count as the intermediary’s own capital.
There is no uniform approval period for the entire process. Form D is generally a notice filed 15 days after the first sale, not an approval obtained in 15 days. Reg A sales may begin only after qualification. Reg CF is conducted through a registered intermediary and subject to conditions including Form C. Reg S has no general SEC pre-offering approval. Schedule documents, financial statements and platform launch separately.
An offering exemption applies to a particular transaction and cannot be purchased as a transferable licence. When acquiring an issuer, examine its historical sales, token rights, Bad Actor issues, reports, resale controls and wallet permissions; acquiring a BD/ATS also involves intermediary change-of-control and scope-of-business procedures.
Maintain compliance according to the pathway: ongoing Reg D offerings require annual and other amendments to Form D; Reg S requires retention of evidence of offshore sales and restrictions. Reg A Tier 1 requires a closing report, while Tier 2 requires annual, semi-annual and event reports; Reg CF generally requires C-AR within 120 days after the financial year-end. Resale restrictions do not uniformly expire automatically after one year; maintenance for intermediaries and advisers is accounted for separately.
The CFTC is a federal regulatory agency, while the NFA is a self-regulatory organisation that handles delegated registration functions. There is no single unified “NFA financial licence”. Institutional registration, membership, activity-specific approvals and personnel status must be checked separately.
CFTC, NFA and applicable designated self-regulatory organisations; security-based swaps are separately subject to the SEC framework.
FCM accepts orders and receives customer assets supporting those orders; IB solicits or accepts orders but does not receive such customer assets; CTA provides commodity trading advice for compensation; CPO operates and raises funds for commodity pools; RFED is a counterparty in specified retail off-exchange foreign exchange transactions; SD and MSP are assessed respectively under tests concerning swap dealers and significant exposures, among other matters. AP is a personnel category, while Principal is a key-person listing rather than a registration category; FB/FT distinguish floor trading for customers from proprietary floor trading.
Requirements cannot be standardised across categories: an FCM generally requires adjusted net capital of at least US$100 × ten thousand, subject to any higher applicable formula; an independent IB generally requires at least 45,000 dollars and any higher applicable requirement, while a qualifying guaranteed IB may not be subject to independent net capital requirements; the RFED/FDM baseline is US$2,000 × ten thousand plus applicable liability factors. SD capital is calculated under the prudential, concurrent FCM or non-bank pathway; an MSP not subject to prudential regulation generally requires positive tangible net worth and compliance with applicable requirements. A standalone CTA/CPO/AP has no uniform net capital floor of the foregoing kind, but must still comply with operational and financial requirements.
There is no uniform approval commitment across categories; examinations, fingerprints, financial statements, capital and enquiries affect progress. For some applications, failure to submit required financial statements within 90 days after application results in withdrawal of pending status. This is a documentation rule, not a promise of approval within 90 days; having only a number or personnel examinations does not mean the company may commence business.
Assess separately whether to acquire the original entity or have a new entity assume the business; update 7-R, 8-R, Principal/AP, business and capital arrangements; and check guarantee agreements, commodity pools, customer assets and partner consent. Bulk account or position transfers by an FDM have specific advance-notice and customer procedures; do not present these as a uniform timeline for all changes of control.
Handle annual renewals as notified, record maintenance fees for each category, applicable membership dues and questionnaires, and process changes promptly. Where applicable, a CPO's NFA-PQR is generally due within 60 days after quarter-end, and a CTA's NFA-PR within 45 days after the corresponding period-end. Audited annual pool reports, FCM/IB financial and customer-funds reporting, and RFED/SD/MSP reporting each have their own rules and cannot all be treated as a single annual report.
Formation of an LLC or Corporation under state law, or registration to do business as an out-of-state/foreign entity; an EIN is a tax ID, and S Corporation is a tax election. Neither is authorisation to conduct financial business.
State business registration authorities; federal taxes are administered by the IRS, BOI by FinCEN; industry activities are additionally regulated by the relevant federal and state authorities.
Legal entity, governance, foreign-state registration to do business, EIN, bank applications, accounting and tax foundations. An ordinary entity can serve as the project entity, but a certificate of formation, Good Standing or business account does not authorise remittances, deposit-taking, securities brokerage, advisory, insurance or derivatives business.
Ordinary business companies have no nationally uniform minimum paid-in capital; authorised share capital, issued equity and actual contributions are distinct. Financial net capital, net worth, surety insurance and customer safeguards must be met separately and cannot be replaced by company capital.
State registration, EIN, banking and industry licences are handled separately, with no single nationwide completion deadline. IRS fax processing is generally around 4 business days and mail around 4 weeks as usual guidance, not a guarantee. State expedited processing does not include bank due diligence or financial regulatory approval.
Review historical tax, debt, litigation, governance and account conditions; handle state amendments, bank records and whether a new EIN is required according to whether the transaction is an equity purchase, asset purchase or merger. Holders of financial qualifications must separately follow the applicable change-of-control, notice or client-consent procedures. An earlier formation date does not mean an entity is clean or ready to operate immediately.
State periodic reports, registered agent arrangements, fixed taxes and fees, and federal and operating-state tax matters must each be maintained separately. For a wholly foreign-owned single-member LLC, determine 5472 and pro forma 1120 requirements based on reportable transactions; zero income does not mean exemption from filing. The BOI exemption for US-formed entities does not eliminate bank KYC, tax or industry disclosure requirements.
A classification guide to different business charters, licences, registrations and exemptions; it is not a single “other financial licence” that can be applied for, and it does not claim to cover every state-specific licence category.
Responsibility depends on category and lies with the OCC, Federal Reserve, FDIC, NCUA, SEC, CFTC, or state regulators. FINRA/NFA/MSRB are applicable self-regulatory organisations; NMLS/NIPR and similar bodies are not unified licensing authorities.
Classify separately banking/savings and trust, credit unions, insurance underwriting or producer activity, mortgage companies and MLOs, consumer lending and collections, exchanges/clearing/transfer agents, registered or private funds, security-based swaps, ratings and payment stablecoins. Insurance sales are not underwriting; trust custody is not a full-service deposit-taking bank; ATS status does not include clearing authorisation.
No uniform minimum amount across categories. Banks and trusts depend on the plan and risk assessment; insurance depends on the state, line of insurance and solvency; state lending depends on the product’s net worth and safeguards; securities, commodities and market facilities depend on their respective capital or risk formulas. Company capital, customer assets, stablecoin reserves, insured amounts and application fees are not interchangeable.
Confirm materials, related-party approvals, commencement conditions and rule status by category; there is no uniform timeline for US financial licences. A fundraising/commencement deadline after preliminary bank approval is not an approval timeline, and a platform's processing target is not a guarantee of approval; a framework not yet in effect is not current authority to conduct business.
Bank control, Insurance Form A, state lending or collection licences, notices and approvals for intermediaries and market facilities, and non-transferability rules apply separately. An acquisition must not circumvent fitness, capital or customer-asset requirements, nor automatically expand the originally approved business.
Establish calendars by category for renewals, prudential financial reports, capital monitoring, personnel qualifications, client disclosures, systems and incident reports; exit also requires addressing clients, contracts and records. Applicable effective dates and regulatory pathways for issuance and reserve requirements related to payment stablecoins under GENIUS must be assessed separately; MSB or ordinary MTL status is not a substitute.
Capital, net capital, margin and protection of client assets are distinct concepts and cannot simply be compared by amount. Preparation time and regulatory processing time must also be distinguished.
MSB is not a nationwide operating licence
Federal FinCEN MSB registration does not replace a state MTL, New York virtual currency licence or securities business qualification. An STO is not a single, all-purpose licence either; offering, brokerage, trading platform and investment adviser activities must be assessed separately.
Choose a route based on the actual business
01
Fiat remittances, cross-border collection and payment services, merchant settlement or stored-value wallets
First assess the facts of receiving, controlling and transferring funds to determine FinCEN MSB status or a definitional exclusion; then determine MTL requirements, agency arrangements or genuinely applicable exemptions for each customer state. Also address customer obligation coverage and applicable remittance consumer protections.
An MSB register entry and selection of states served do not constitute state approval; the federal payment processor exception does not automatically provide an exemption under state law. Registration in Montana or Delaware does not cover customers in other states, nor does it guarantee access to banking or clearing.02
Digital asset exchange, custodial wallets, crypto payments, and services for New York customers
Determine federal status and state payment/digital asset licensing based on control of funds and keys. For statutory virtual currency activities in New York, assess a BitLicense or an appropriate banking/limited-purpose trust pathway approved by NYDFS; separately check MTL for the fiat currency component.
Pure software development differs from controlling assets on behalf of clients. A New York licence does not cover the entire country, and a BitLicense does not confer trust fiduciary powers. Securities or derivatives products require separate classification; do not assess them solely by reference to the MSB or wallet name.03
Issuance and redemption of payment stablecoins and related custody
Identify the issuer type, competent authority, state virtual currency requirements and existing approvals individually; design reserves, redemption, capital and custody, and plan according to the applicable effectiveness and transition provisions in the final GENIUS text. Issuers regulated in New York should separately verify the specific issuance approval.
MSB, MTL or an existing BitLicense does not automatically confer full issuance authority. As of 2026-11-04, the OCC final rules have been published but are not yet effective; the effective date is 2027-01-18. Do not claim that all AML/sanctions-related requirements have been finalised. Reserves are not own capital.04
Security token financing for a company, real estate project or fund interest
First confirm the securities rights, issuer eligibility and investor market, then choose securities registration or an applicable exemption such as Reg D/Reg S/Reg A/Reg CF; assess distribution, advisory services, funds, cap table, custody and secondary trading separately.
STO is not a licence, and Form D is not SEC project approval. Overseas offerings cannot be assessed solely by checking passports or IP addresses. Reg A has geographical conditions relating to the United States and Canada, and Reg CF has conditions relating to US issuers and intermediaries; there is no universal automatic release of resale restrictions after one year.05
Finding investors for issuers, private placements, underwriting or receiving transaction-based commissions
Determine BD obligations based on actual securities solicitation and compensation, and use the applicable SEC/FINRA, state, and personnel registrations or strictly applicable legal exemptions; retain the issuer's offering compliance obligations as well.
An offering exemption does not exempt sales intermediaries. An issuer selling its own securities is different from an affiliate acting as a compensated broker; the minimum of $5,000 applies only to a strictly limited net-capital model, not to every placement project or the overall start-up cost.06
A platform matching secondary trades in security tokens or other securities
First assess the exchange definition and applicable exemptions, then choose exchange registration or the Regulation ATS route under a registered BD; address FINRA scope of business, applicable Form ATS/ATS-N, and arrangements for resalable securities and assets.
For non-NMS stocks, Form ATS is an advance notice, not SEC commercial approval; the ATS-N process is different. An existing BD does not automatically authorise ATS, arbitrary tokens, clearing or custody, and completion of an offering does not guarantee secondary-market liquidity.07
Charging for securities investment advice, wealth management or securities account management
Calculate RAUM and determine state RIA, SEC RIA or applicable exemption/ERA in light of principal place of business, client states and exceptions; separately address IAR, client disclosures, custody authorisations and fee rules.
1 hundred million dollars is a common SEC registration point; 1.1 hundred million dollars generally requires registration; 9,000 ten thousand dollars is an existing SEC registrant retention/conversion buffer, not an ordinary initial entry point. New York mid-sized and other exceptions require separate review. An RIA does not grant authority to earn transaction commissions, transmit money or provide custody at will.08
Private securities or commodity derivatives funds, quantitative pools or fund tokenisation
Assess separately the fund's Investment Company Act pathway, registration/exemption for issuing interests, the manager's RIA/ERA status, distribution BD requirements, and commodity pool CPO and commodity advice CTA requirements; when commodity interests are used, check the specific exclusions, exemptions or registration conditions.
Reg D, private fund exclusions, RIA/ERA and CPO/CTA operate at different levels; none covers all requirements for a fund. CPO disclosure relief does not necessarily exempt registration, and the proposed 2026 small-pool threshold of US$800,000 is not used as a basis under current rules.09
Introducing futures orders or accepting orders and holding customer margin assets
Assess an IB solicitation/order-taking model that does not receive customer assets supporting orders, distinguishing independent and guaranteed IBs; if it also receives such customer assets, assess an FCM and provide for the corresponding capital, accounts, Principals/APs, supervision and membership.
An IB may not first collect a surety bond/deposit from customers and then transfer it onward; a guaranteed arrangement is not an exemption from registration or compliance. A securities introducing broker and a futures IB do not authorise each other, and the generic term “NFA licence” does not clarify authority over funds.010
Providing compensated advice on futures, commodity options, related foreign exchange or swaps, and copy trading
Assess CTA status and applicable exemptions based on customised advice, fees, trading discretion, and solicitation; if operating a commodity pool that is also soliciting investments, assess CPO status separately; for securities advice, also check RIA requirements.
CTA/CPO status is not authorisation to act as a low-capital retail forex market maker, and authority to trade accounts does not mean one may accept customer margin. Labels such as “software,” “education” or “quantitative signals” do not automatically exclude regulation.011
Ordinary foreign-currency exchange and retail leveraged over-the-counter foreign exchange trading
For ordinary exchange activity, assess the MSB category and state exchange/payment licensing requirements. If acting as a counterparty in regulated retail off-exchange leveraged foreign exchange, assess RFED/FDM status or another lawful counterparty status; introductions or advice are subject to IB/CTA and foreign-exchange-specific requirements.
MSB currency exchange activities and an MTL do not authorise leveraged foreign exchange counterparty business. The RFED/FDM base amount of 2,000 × ten thousand US dollars and liabilities-based add-on do not apply to all NFA categories. Foreign exchange customer funds do not automatically receive the same segregation or bankruptcy protection as exchange-traded futures.012
Swap dealing, significant derivatives positions or security-based swaps
First distinguish CFTC-jurisdiction swaps from SEC security-based swaps, then separately analyse the SD/MSP or SBSD/MSBSP definitions, thresholds, capital and compliance; separately check combined requirements for other statuses such as FCM/BD.
An MSP is not a simplified licence for a smaller SD; ordinary proprietary trading or hedging should not be classified solely on the basis of total transaction volume. CFTC/NFA and SEC security-based swap regimes, and prudential and non-bank capital pathways, cannot be applied interchangeably.013
Taking deposits from the public, acting as a custodian or trustee, insurance, lending or debt collection
Follow the applicable specialised pathway for bank chartering and insurance, trust chartering, insurance underwriting or producer activities, state lending/mortgage/MLO/servicer activities, debt collection, and similar matters; select according to the product, customer location, and actual role.
These are not optional add-ons to MSB, MTL, RIA or NFA. A trust does not necessarily have general deposit-taking and lending powers; selling insurance is not underwriting; and loan broking is not lending on one's own account. The directory does not cover every state-specific subcategory of licence.014
First establish a US entity or acquire an existing licensed company to enter the market
First assess the business and the relevant states, then select the company and tax structure. For an acquisition, conduct due diligence on historical compliance, capital, customer assets and contracts based on the specific qualifications; implement only after confirming notification, approval, succession, customer consent and bank requirements.
A company certificate, EIN, historical numbers or Good Standing are not approvals to conduct financial business. Control thresholds such as 10% and 25% under different regimes cannot be applied uniformly; client assets cannot be treated as freely disposable capital in an acquisition, and buying a shell company does not guarantee faster approval or account opening.
Cross-border business and regulatory boundaries
This comparison is compiled solely from nine verified topic reports, with a reference date of 2026-11-4. United States regulation applies in layers according to the entity, product, customer location, solicitation, control of assets and actual flows of funds. An exemption does not automatically arise merely because a company is established in a particular state, its servers are overseas, it uses Chinese-language pages or it has only a small number of US customers. FinCEN MSB is federal registration under the BSA, a state MTL is a local licence to conduct money transmission, and New York's BitLicense is an authorisation for relevant virtual currency activities; none substitutes for the others. Exclusions from the definitions for certain banks or entities subject to substantive SEC/CFTC regulation, and state exemptions, require separate examination; MSB registration must not be mechanically imposed on every entity as an additional requirement. Security tokens require separate consideration of issuer STO registration or offering exemptions, sales intermediaries as BD, trading systems as ATS, securities advisers as RIA, funds and custody. Commodities business must be assessed independently under CFTC/NFA categories such as FCM, IB, CTA, CPO, RFED and SD/MSP. US qualifications do not constitute a global financial services passport; local sales, payments, sanctions, privacy and tax requirements must still be checked in overseas customer markets. The capital column summarises the bases used by the different regimes; regulatory net capital, net worth, RAUM, fundraising limits, customer assets, guarantees and stablecoin reserves must not be directly ranked as start-up costs. None of the process timelines guarantees approval, account opening or launch; general information does not replace case-specific advice. The OCC GENIUS final rule was published on 2026-10-21, with an announced effective date of 2027-1-18, and had not yet taken effect as of the reference date. These topic reports do not comprehensively confirm whether all implementing measures of other agencies have been finalised or their application acceptance status. Proposed rules, future effective arrangements and current requirements must not be conflated; the latest texts must still be rechecked before formal filing and product launch.
