REGULATORY OVERVIEW
Overview and reading notes
A US RIA is generally an investment adviser registered in accordance with the law, rather than a general financial licence indicating government recognition of investment competence. The regulatory route should be determined in light of regulatory assets under management (RAUM), the principal place of business, client distribution, fund types and registration exceptions. Generally, SEC registration is available when RAUM reaches US$1 × one hundred million and mandatory when it reaches US$1.1 × one hundred million; advisers already registered with the SEC have a retention buffer of US$9,000 × ten thousand, but statutory exceptions and exemptions must be assessed separately. Firm registration, individual IAR qualifications, custody of client assets and state notice filings must each be addressed separately. Prepared by Rengangyongsheng (Hong Kong) Limited, with professional explanations by business manager
- Regulatory authority
- The U.S. Securities and Exchange Commission (SEC) and relevant state securities regulators; NASAA provides state regulatory coordination and model rules, while FINRA operates IARD/CRD and administers related examinations, but this does not make it the primary regulator of ordinary RIAs.
- Scope of business
- Applicable to paid securities investment advice, portfolio management, securities advice in wealth management and qualifying fund management. RIA registration itself does not authorise securities brokerage, money transmission, bank deposits, trust custody, insurance sales or securities offerings, and does not replace CFTC/NFA classification and registration.
- Capital and finance
- There is no minimum net capital amount applicable to all ordinary SEC-registered RIAs. State-registered advisers must check net worth and surety bond requirements according to the target state and factors such as custody, discretionary management and prepaid fees. California examples: applicable advisers with custody of client assets must maintain minimum net worth of $35,000; those with discretionary management but no custody must maintain $10,000; certain long-term prepaid fee arrangements require positive net worth. The RAUM threshold is a regulatory calculation of customer assets, not company paid-in capital.
- Processing time information
- For a formally qualified and complete initial application, the SEC generally takes action within 45 days of filing to grant registration or initiate proceedings to determine whether to deny it. Resubmission of an incomplete application may start a new 45-day period; approval within 45 days is not guaranteed. There is no nationwide commitment for state registration processing times. Company formation, examinations, account opening and custody arrangements have separate timelines. This topic gives no unverified guarantee of commercial processing time.
01 | Registration status, investment adviser definition and business scope
02 | SEC and state oversight: RAUM thresholds and buffers
03 | Applicable categories, special routes and registration exemptions
04 | Benefits registration may bring and outcomes that cannot be promised
05 | Applicant entity, eligibility and pre-commencement requirements
06 | Shareholders, directors, controllers and beneficial ownership
07 | CCO, IAR registration, examinations and continuing education
08 | Capital, net worth, working capital and source of funds
09 | Address, principal place of business and actual operations
10 | Form ADV and application package
11 | Complete application steps from assessment to launch
12 | Application timing, system fees and project budget
13 | Customer agreements, fiduciary duties and fee controls
14 | Custody of customer assets, fee deductions and fund audits
15 | Websites, marketing materials, referrals and public disclosures
16 | Current status of anti-money laundering, customer information and information security
17 | Acquisitions, equity changes, contract transfers and successor registration
18 | Annual updates, state renewals, regulatory examinations and exit maintenance
SEC Rule 206(4)-7
19 | Internet advisers, non-resident firms and cross-border services
20 | CFTC and NFA classification boundaries where derivatives are involved
21 | Digital assets, STO and licensing combinations must not be conflated
[19] [20] [28]
22 | Pre-filing considerations and 2026 rule status

Business classification and entry requirements by category
Ordinary SEC-registered RIA
Generally, registration may be applied for when RAUM reaches US$1 × one hundred million and is mandatory when it reaches US$1.1 × one hundred million, subject to applicable exemptions. Existing SEC-registered advisers generally have a retention buffer of US$9,000 × ten thousand. Federal registration does not remove applicable state notification and individual qualification requirements.[1]
- Capital requirements
- There is no nationally uniform minimum net capital amount for an ordinary SEC RIA; financial disclosures, custody and operational resources must be addressed for the specific business. RAUM is not paid-in capital.
- Personnel and qualifications
- Designate a CCO with actual authority and capability; handle relevant IARs according to applicable state definitions, examination and registration requirements. [8]
- Ongoing maintenance
- File the annual ADV update within 90 days after the fiscal year-end; amend promptly for events, and maintain annual compliance reviews, client disclosures, records and applicable state notices. IARD fees are tiered by RAUM.[3]
State-registered investment adviser
Small and medium-sized advisers that meet the relevant state regulatory conditions usually follow the state route. Assess this based on the principal place of business and activities in each state; separately check exceptions such as medium-sized advisers in New York. [1]
- Capital requirements
- Check net worth and surety bond/deposit state by state. California applies $35,000 for advisers with custody, $10,000 for those with discretion but no custody, and requires positive net worth for certain long-term advance fees; these are not nationwide standards. [4]
- Personnel and qualifications
- Register relevant IARs as defined by the state, and complete examinations or recognised qualifications, U4, and other requirements. Not all shareholders must take examinations, and a managing shareholder cannot be assumed to be exempt from qualification requirements. [5]
- Ongoing maintenance
- State entity and individual renewals, ADV updates, applicable financial reports, custody and recordkeeping requirements; arrange continuing education separately for individual IARs in states that have adopted it. [5] [18]
SEC-registered RIA in certain categories
Includes qualifying advisers to registered investment companies, BDC advisers, multi-state advisers, pension advisers and affiliated advisers, among others; the determination is not based solely on US$1.1 × one hundred million. Internet advisers must meet the current conditions for serving all clients through an interactive website.[2] [27]
- Capital requirements
- There is no registered capital standard that applies to all special entry routes; registration eligibility thresholds and firm capital should be assessed separately.
- Personnel and qualifications
- CCO, IAR, business competence and the requirements applicable to ordinary advisers must all be assessed together; a special registration pathway does not eliminate personnel supervision. [8]
- Ongoing maintenance
- Continue to demonstrate special qualifications and complete annual updates and compliance reviews; promptly reassess the registration route if changes to the website, management location or customer structure cause eligibility to lapse. [3] [27]
Private fund adviser ERA
When serving only qualifying private funds and the relevant assets under management of US private funds are less than US$1.5 hundred million, an exempt reporting route may be available; an ERA is not a full RIA, and state obligations must be assessed separately.[1] [24]
- Capital requirements
- $1.5 hundred million is an exempt-asset ceiling, not registered capital or a surety bond; company funds, fund assets and state financial conditions must be treated separately.
- Personnel and qualifications
- Implement responsibilities and oversight according to actual management functions; check state individual qualifications and affiliated regulatory requirements separately. Do not apply the CCO rule for a full SEC-registered RIA to an ERA across the board without analysis.
- Ongoing maintenance
- Form ADV initial and annual reports within the prescribed scope, applicable state reports, disciplinary and affiliated disclosures, and ongoing verification that services are provided only to the relevant funds and within the asset thresholds; SEC ERA system initial and annual filing fees are $150 each. [3]
Venture capital adviser ERA
When advising only venture capital funds that meet the formal definition, reporting under the venture capital adviser exemption may be available; the fund's name or investing in early-stage companies alone is insufficient.[1] [24]
- Capital requirements
- This exemption is not the US$1.5 × one hundred million asset test for an ordinary private-fund ERA, but the conditions in the formal definition concerning fund investments, leverage and redemption must be met; it does not give rise to a uniform company capital amount.
- Personnel and qualifications
- Review the management team, state personnel qualifications, business and fund documents, and establish accountability for determining whether the fund continues to meet the definition.
- Ongoing maintenance
- ERA reporting, state obligations, and anti-fraud responsibilities continue to apply; review whether reliance on the exemption remains available if the fund strategy or client type changes. [24]
Qualifying single-family office
An entity serving only family clients as defined in the rules, wholly owned by family clients and exclusively controlled by the relevant family members or entities, and not holding itself out to the public as an advisory business may fall within an exclusion from the federal definition. This is not a family office licence that can be sold.[23]
- Capital requirements
- No uniform RIA registered capital requirement results from this definition’s exclusion; operating funds, trusts and other business rules must be checked separately.
- Personnel and qualifications
- Check the formal definitions of family members, family entities, key employees and other clients. Do not open the service to unrelated external clients and continue relying on the name alone to exclude them.
- Ongoing maintenance
- Continue to maintain customer, ownership and control facts, and reassess if customers outside the family or external control are added; state and other financial business requirements must be assessed separately.
Foreign private fund adviser exemption assessment
A specific foreign private adviser exemption may apply to an offshore adviser with no place of business in the United States, fewer than 15 US clients and relevant fund investors combined, less than US$2,500 × ten thousand in relevant US assets, and other limitations satisfied. This is not a general offshore RIA licence. [2] [24]
- Capital requirements
- US$2,500 × ten thousand is the relevant test for US assets under management, not company capital; the conditions must not be circumvented by counting only funds while ignoring investors or by excluding actual US assets.
- Personnel and qualifications
- Identify personnel and places of business actually providing services to US customers, and check other-state or business qualifications; this does not mean that a home-country licence is automatically recognised in the United States.
- Ongoing maintenance
- Continue to monitor the number of US customers and investors, assets, places of business and marketing activities. If the conditions cease to be met, assess SEC and state obligations rather than assuming the original exemption remains valid indefinitely.
Frequently asked questions
Is RIA a licence or a registration? Does SEC registration mean that investment capability has been endorsed?
The core federal RIA requirement is investment adviser registration; some states use the terms licence or certificate. Registration does not mean that the SEC guarantees competence, performance, returns or company credibility. Firms should accurately describe their status rather than promote it as government endorsement. Individual IARs, securities offerings and other financial activities have separate requirements. [1] [11] [26]
With AUM of only US$5,000 × ten thousand, is state registration the only option?
Not necessarily. Ordinary mid-sized advisers generally follow the state registration route. However, SEC registration may be required or available if the state of their principal place of business does not require them to register or does not examine them, or if they qualify for the registered investment company, multi-state or other SEC exceptions. The SEC currently expressly states that relevant mid-sized advisers in New York must pay particular attention to the US$2,500 × ten thousand threshold. RAUM should be used and the facts checked, rather than relying on a single number.[1] [2]
What do US$1 × one hundred million, US$1.1 × one hundred million and US$9,000 × ten thousand mean respectively?
Under the ordinary-size pathway, US$1 × one hundred million permits SEC registration and US$1.1 × one hundred million requires registration, subject to applicable exemptions. US$9,000 × ten thousand is a retention buffer for advisers already registered with the SEC, not a general entry threshold for new advisers. The 90-day period for switching from state to SEC registration generally runs from submission of the annual ADV update reporting that registration is required; the 180-day period for switching to state registration after losing SEC eligibility generally runs from the fiscal year-end. [1] [3]
Is the minimum capital for a US RIA $35,000?
There is no uniform nationwide amount. An ordinary SEC RIA has no uniform minimum net capital requirement; for state advisers, the relevant state and scope of business must be considered. $35,000 is an example of the minimum net worth applicable in California to an adviser with custody; the corresponding California standard for an adviser with discretion but no custody is $10,000. Other states, surety requirements and financial definitions need to be checked separately. [4] [26]
Can I independently provide investment advice immediately after passing Series 65?
No. Examination results alone do not permit practice. Series 65 is generally one of the qualification requirements for a state IAR, but affiliation with an appropriate firm, U4 and other requirements of the relevant state are still necessary. The examination itself does not require firm sponsorship and currently consists of 130 scored questions plus 10 unscored questions, lasts 180 minutes, and requires at least 92 correct scored answers; the status of the firm RIA and individual IAR must be confirmed separately. [5] [6] [7]
Does holding a CFA, CFP or CPA qualification always exempt you from examinations?
No. A professional qualification may substitute under the NASAA model only if adopted by the target state, and the qualification's current validity must be verified. The current official list includes CFP, ChFC or MSFS, CFA, PFS and CIMA, among others; a CPA alone is not automatically equivalent to PFS, and an old qualification list cannot be claimed to remain uniformly applicable nationwide. An examination waiver does not waive other conditions for IAR registration. [6]
Does outsourcing the CCO mean the institution does not need to supervise independently?
No. The SEC requires the designation of an individual who actually implements compliance policies, is familiar with the rules, and has sufficient authority and resources. Outsourcing can provide support, but the firm must still oversee policy implementation, client documents, fees, marketing and remediation of issues. There is no uniform nationwide mandatory requirement that a CCO have five to ten years of work experience, and a nominal appointee cannot substitute for competence and responsibility.[8]
Does SEC registration mean approval is guaranteed within 45 days?
No. Once materials are complete and in proper form, the SEC has 45 days to grant registration or commence proceedings to determine whether to deny it; omissions and resubmission may start a new 45-day period. Company formation, examinations, banking and custody access are not included in this period. There is no uniform nationwide timeline commitment for state applications; the progress of each case must be confirmed separately. [3]
Can an ERA serve individual clients like a full RIA?
ERA status alone does not permit general securities advice to individuals. SEC ERA status generally rests on exemptions such as serving only qualifying private funds with relevant US assets below US$1.5 × one hundred million, or serving only formally defined venture capital funds. It is not full SEC registration; reporting and anti-fraud obligations, and potentially state requirements, still apply. Adding separate-account clients may invalidate the original exemption.[1] [2] [24]
If a client is already an accredited investor, can performance fees be charged directly?
This cannot be determined automatically. As of 2026-11-04, the qualified-client monetary tests under Rule 205-3 were adjusted with effect from 2026-06-29 to require at least US$140 × ten thousand managed by the adviser or net worth exceeding US$270 × ten thousand, with other qualification and transition rules also applying. The 2026 reform intended to include accredited investor in the relevant definition remains a proposal; offering eligibility and performance-fee eligibility should be checked separately.[14] [16]
Can registration be avoided if acting only as an agent for other MSBs?
Not necessarily. Deducting fees may constitute custody, but when custody arises solely from deducting advisory fees, the SEC surprise examination exception may apply; other custody safeguards generally still need to be implemented. If there is also authority to withdraw funds, make third-party payments or manage a fund, assess that separately; do not extend the fee-deduction-only exception to all control over funds. [9]
In 2026, are all RIAs already required to file SARs?
No. FinCEN has adopted a final rule postponing the effective date of the IA AML Rule for investment advisers to 2028-01-01. Existing obligations applicable to other BSA-regulated statuses, due diligence by custodians and applicable risk controls must still be observed. The delay is not a reason to accept funds of unclear origin or to describe future obligations as current uniform obligations for all RIAs. [12]
Can you purchase an existing RIA and immediately conduct new business under its existing number?
That is not an accurate generalisation. It is necessary to assess whether the legal entity remains in existence, control and assignment of contracts, client consent, personnel registration, state filings and acceptance by counterparties, and to review historical compliance risks. Multiple states do not accept simple negative-consent clauses, and an asset transaction or merger may also involve succession or new registration. Client assets must not be used as assets of the acquiring company. [3] [10]
Is it enough to register a company in a low-fee state and then use a virtual address?
The company’s place of incorporation, registered agent and the investment adviser’s principal place of business are not the same concept. The actual management and operating locations should be disclosed truthfully, and state registration, branch, record accessibility and personnel requirements should be checked. Whether virtual or shared offices are acceptable depends on the specific arrangements and state requirements; RIA registration does not guarantee that a bank or custodian will accept the address.[1] [3] [26]
If there is an MSB or NFA registration, is an RIA no longer needed? And what is an STO?
These statuses cannot replace one another. MSB registration does not constitute government endorsement or replace a state MTL; CTA/CPO, FCM, IB, RFED and swap categories involve different derivatives regulatory pathways. An STO is a securities-token offering context, not a single overarching licence; offering registration or exemption, investment advice, brokerage matching, trading venues and custody must be assessed according to their respective functions.[1] [19] [20] [28]
Does paying the annual renewal fee once a year complete RIA maintenance?
No. This usually also includes the annual ADV update within 90 days after the fiscal year-end, timely amendments for events, client disclosures, an annual compliance review, applicable state financial reports, personnel qualifications and IAR continuing education in states that have adopted it. Fund or other reporting applies as conditions require. SEC registration is not an operating licence subject to annual reapproval, and state year-end renewal fees and the ADV fiscal-year update are separate matters. [3] [5] [8] [18]
